Terms of Service

These Terms govern your access to and use of UpSteer. By using the service, you agree to these Terms and to any additional terms that apply to beta, preview, or enterprise features.

1. The Service

UpSteer provides workflow tooling for routing approvals, preserving audit trails, and coordinating actions between devices, workspaces, and connected systems. We may update, modify, suspend, or discontinue any part of the service at any time.

2. Eligibility and Accounts

  • You must be legally able to enter into a binding contract to use the service.
  • You are responsible for the information you provide and for maintaining the confidentiality of your credentials.
  • You are responsible for activity conducted through your account and workspace.

3. Customer Data and Your Responsibilities

You retain ownership of content, commands, logs, workspace data, and other materials you submit or cause to be processed through the service. You grant UpSteer a limited, non-exclusive, worldwide license to host, process, transmit, reproduce, and display that material solely to operate, secure, maintain, support, and improve the service.

  • You represent that you have all rights and permissions needed to submit the data you provide to UpSteer.
  • You are responsible for reviewing approvals and for the consequences of approving or rejecting any action.
  • You should not submit secrets, credentials, or confidential materials unless they are necessary for the workflow and you are authorized to do so.

4. Intellectual Property

UpSteer, including its software, interface, branding, logos, workflows, text, and design, is owned by us or our licensors and protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no rights are granted by implication or otherwise.

  • You may not copy, modify, distribute, sell, lease, or sublicense any part of the service except as expressly allowed.
  • You may not reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, or underlying ideas from the service except where such restriction is prohibited by law.
  • Feedback you provide may be used by us without restriction or compensation.

5. Acceptable Use

  • Do not use the service to violate law, infringe rights, or interfere with other users or systems.
  • Do not bypass approval gates, rate limits, authentication, logging, or security controls.
  • Do not attempt to probe, scan, or test the vulnerability of the service except as expressly authorized in writing.
  • Do not use the service to build or train a competing product based on non-public behavior, workflows, or interfaces.

6. Beta and Preview Features

Some features may be released in beta, preview, or test form. Those features are provided for evaluation, may be incomplete or change without notice, and may be subject to additional terms, limits, or support disclaimers.

7. Third-Party Services

The service may integrate with Apple, Expo, cloud hosting providers, authentication providers, or other third-party tools. We are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.

8. Suspension and Termination

We may suspend or terminate access to the service immediately if we believe there is a security risk, abuse, unlawful activity, non-payment, or a material violation of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that the service will be uninterrupted, error-free, or that approvals, logs, or notifications will always be delivered on time.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSTEER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED DOLLARS (USD $100).

11. Indemnification

You agree to indemnify and hold harmless UpSteer and its personnel from claims, liabilities, damages, losses, and expenses arising out of your use of the service, your content, or your violation of these Terms or applicable law.

12. Changes

We may modify these Terms from time to time. If changes are material, we will update the effective date and, where appropriate, provide additional notice. Continued use of the service after changes become effective means you accept the revised Terms.
